Terms & Conditions

How we work with you — approvals, account access, ownership, and how these terms fit with the services agreement we sign before we start.

Version 1.0 · September 2026 · Operated by Navigate Japan Limited (NZBN 9429052367342)

About These Terms

Navigate Media is the video production, social media management and website design and management service of Navigate Japan Limited ("NJL", "we", "us"), a New Zealand company (NZBN 9429052367342). These terms apply to the Navigate Media services we provide to you ("you", "the client"). Use of our website itself is covered by our website Terms & Conditions.

Your Services Agreement Comes First

Before any work starts, we both sign a written services agreement. It sets out your plan or project, the fees and payment schedule, how many revision rounds are included, the approval period, which accounts we can access, the notice period, and any limit on our liability. These terms sit alongside it — if anything in your services agreement differs from these terms, the agreement applies.

An enquiry, a call, or a written proposal doesn't commit either of us to anything.

What We Provide

ServiceWhat's included
Social Media Management
(monthly)
Designed feed posts and stories, captions and hashtags, and a monthly performance summary on every plan. Larger plans add account strategy, Reels, highlights, and comment and message management. Your plan sets how many posts we publish each month.
Video Production
(per video or monthly)
Filming or sourcing footage, editing, sound and audio mastering, titles and descriptions, and a publishing schedule. Your services agreement sets the number, length, and subject of the videos.
Websites
(fixed-scope project and agreed support)
Squarespace website design and management in Japanese and English, with a written scope and human review before delivery. Hosting and support options are set out in your services agreement.

More detail is on our Navigate Media page. Anything not described in your services agreement is outside its scope.

We produce content. We don't act as an agent or broker for property or any other sale, we don't take commissions tied to your transactions, and our work never involves any arrangement touching a property's title or ownership.

Your Materials and Permissions

  • If your plan relies on you supplying photos, footage, logos, or brand guidelines, please provide them in a usable format and in time for the agreed publishing dates. Late material may delay deliverables, and that delay isn't our responsibility.
  • You confirm that you have the rights and permissions for everything you supply — including permission to use any logos, trademarks, music, or images, and the consent of anyone who appears in them.
  • You allow us to use your material, name, and logo to produce and publish content for you during the engagement.
  • If we film on location, you'll help us arrange access. We ask people for their consent before we film them.

Approvals and Revisions

We share draft content with you for approval before it's published. Your services agreement sets how many revision rounds are included, and the fee for any beyond that. If you don't respond to a draft within the period set in your agreement, we'll treat it as approved, unless you've told us otherwise in advance.

Please check the facts before you approve — prices, offers, opening hours, product claims. You're responsible for the accuracy of information about your business in content you've approved.

Account Access and Security

  • Before we start, we'll agree in writing which accounts we can access, and at what level — for example, full admin, or scheduled posting only.
  • Where a platform allows it, we prefer to use its own team or partner access rather than your password. If a password has to be shared, please use a secure method we agree on — never ordinary email or chat.
  • We use your accounts only for the agreed work.
  • When the engagement ends, we stop using your accounts. Please remove our access, or change your passwords, within the period set in your services agreement.
  • If either of us suspects an account has been compromised, we'll tell the other straight away.

Platforms, Music, and AI

Instagram, Facebook, YouTube, TikTok, and other platforms have their own terms and community rules, which apply to your content and accounts. We follow them, and we'll tell you if something you ask for would break them. We don't control platform algorithms, reach, or outages, or restrictions a platform places on an account.

Navigate Vibes music in your content

If we use a track from Navigate Vibes, our group's music catalogue, it's provided under the Navigate Vibes Terms & Conditions — a free, non-exclusive licence, not ownership of the music. Content already published with a Navigate Vibes track stays lawfully published after your agreement ends; this doesn't give you any other rights to the music.

We'll identify any other third-party music, stock footage, or licensed assets we use, along with the licence terms that apply. If a deliverable includes AI-generated material — every Navigate Vibes track is 100% AI-generated — we'll tell you, and we'll follow the labelling rules of the platforms it's published on.

Fees and Payment

Fees are set out in your services agreement. Monthly plans are usually billed in advance; video projects usually involve a deposit, with the balance due on delivery. Your agreement sets the exact schedule. Fees are plus GST where applicable.

No Guaranteed Results

We don't guarantee a particular number of views, followers, engagement rate, or sales. We're responsible for delivering the agreed scope, on the agreed schedule, with reasonable care and skill — not for how audiences respond to it.

Ownership and Portfolio

Once you've paid in full, the finished content we deliver — edited videos, published posts — is yours to use for your own business purposes. Raw footage and working project files aren't included unless your services agreement says so. We keep our own templates, editing processes, and production methods, and may reuse them for other clients.

Unless you tell us otherwise in writing, we may mention that we work with you, and show non-confidential examples of the work in our portfolio and case studies. We won't disclose your confidential information, and we'll remove specific content from our portfolio if you ask.

Confidentiality and Privacy

We both keep confidential any non-public information shared during the engagement, except where disclosure is required by law.

We handle personal information as described in our Navigate Media Privacy Policy — including the comments and messages from your audience that we handle on your behalf.

Our Liability

We'll carry out the work with reasonable care and skill.

To the extent New Zealand law allows, we're not liable for: the actions or decisions of platforms, including changes to their features, algorithms, or rules, or restrictions they place on your accounts; loss that results from material or information you supply; or indirect or consequential loss, such as lost profits or lost opportunities. If your services agreement sets an overall limit on our liability, that limit applies.

Nothing in these terms limits any right you have under New Zealand law that can't be excluded by agreement.

Cancellation and Ending

Either of us can end the agreement by giving written notice, with the notice period set in your services agreement.

  • Monthly plans: fees already paid for the current month aren't refunded, and nothing further is payable after the notice period ends.
  • Video projects: fees for work already completed remain payable.

When the agreement ends, we stop using your accounts, and you remove our access (see Section 6).

Changes to These Terms

We may update these terms from time to time. The version number and date at the top of this page always reflect the current version. The terms in place when you sign your services agreement apply to that agreement, unless we both agree otherwise in writing.

Governing Law and Contact

These terms, and any agreement under them, are governed by the laws of New Zealand. These terms are published in English and Japanese; if the two versions differ, the English version prevails.
